1. Agreement to these terms
These Terms of Service (“Terms”) are a pre-launch draft for services offered by UpwardGrid (“UpwardGrid,” “we,” “us,” or “our”). The final Terms presented before checkout will govern any purchase. By purchasing or using paid services after launch, the customer (“you” or “your”) will agree to the final Terms, the agreed service scope, and any policies incorporated into them.
If you are purchasing for a business, you confirm that you are authorized to act for that business.
2. Services and scope
UpwardGrid’s initial offer is a focused website for a small business plus a recurring Website Care Plan. The exact pages, content, features, timeline, and deliverables will be confirmed in writing before work begins.
Website Care Plan
The plan is intended to include hosting, SSL, uptime monitoring, basic website maintenance, and up to 3 small content updates per monthly service period.
A small content update generally means changing existing text, hours, phone or email information, replacing an existing image supplied by you, updating an existing service description, or another similarly small change to existing content.
Unless separately quoted and agreed, the plan does not normally include new pages, redesigns, new functionality, ecommerce, advanced booking systems, custom applications, major SEO projects, large content rewrites, or ongoing marketing services.
3. Founding Customer Offer, fees, and automatic renewal
Planned offer for the first 10 customers:
- $149 one-time setup fee for initial website setup and production work.
- $5 for the first month of the Website Care Plan.
- $39/month beginning with the second month.
The Website Care Plan automatically renews each month at $39 until canceled.
Before any charge, the future checkout must clearly display the amount, the date the first service period begins, the first $39 renewal date, the included service, and the cancellation method. It must also require your affirmative agreement to the recurring billing terms and these Terms. No consent box will be pre-checked.
Taxes and any customer-approved third-party costs will be identified before payment when applicable. UpwardGrid will not add a cancellation fee to the Website Care Plan.
4. When substantive website work begins
Before work begins, UpwardGrid will confirm the agreed scope and tell you in writing when substantive work is scheduled to start. Substantive work begins only after:
- you accept the written project scope;
- UpwardGrid has enough requested business information, content, assets, and access to reasonably begin; and
- UpwardGrid sends written confirmation that substantive production work has started.
Substantive work includes business-specific planning, copy preparation, design, page construction, or other production work created specifically for your website. General discussion, fit review, or sending an intake form does not by itself mean substantive work has begun.
5. Customer responsibilities
You are responsible for providing accurate, lawful, and current business information; reviewing the website; and approving the content before launch. You must have the right to use any names, logos, text, photographs, trademarks, or other materials you provide.
You are also responsible for obtaining any licenses, professional disclosures, accessibility accommodations, privacy notices, industry-specific terms, or legal statements required for your own business. UpwardGrid may identify obvious gaps but does not provide legal, tax, accounting, or regulated-industry advice.
6. Domains, content, and website files
Your domain should remain registered to and controlled by you whenever practical. You retain your rights in content and branding that you provide.
When paid service ends, you may request a copy of the core website files associated with your website. Any handoff is subject to payment of amounts already due and the rights described in the final agreement. UpwardGrid does not transfer ownership or licenses for third-party services, third-party assets, internal automation systems, proprietary internal tools, or anything UpwardGrid does not have the right to transfer.
A file copy may require different hosting, configuration, or technical work to operate elsewhere. Unless separately agreed, migration, reconfiguration, or support from another provider is not included.
7. Cancellation and refunds
The monthly Website Care Plan has no long-term commitment. You may cancel future renewals through the available online method or by emailing hello@upwardgrid.com. You will not be required to call to cancel.
Cancellation stops future recurring charges after the current paid service period, subject to the final terms shown at checkout. Hosting and maintenance end when that paid period ends. Details about the setup fee and refunds are in the Cancellation & Refund Policy.
8. Availability, maintenance, and third-party services
UpwardGrid will use reasonable care in providing the agreed services but does not promise uninterrupted availability, a particular search ranking, a specific number of leads, or revenue results. Hosting, domain registrars, email, payment processing, form handling, and other infrastructure may be provided by third parties under their own terms and availability.
We may temporarily suspend services when reasonably necessary for security, maintenance, nonpayment, unlawful use, or protection of the website or related systems. Where practical, we will provide notice and an opportunity to resolve the issue.
9. Disclaimers and limits
To the extent permitted by applicable law, services are provided without guarantees about business results, search placement, uninterrupted operation, or compatibility with every third-party system. Nothing in these Terms excludes rights or remedies that cannot legally be excluded.
Any warranty disclaimer, liability cap, governing-law clause, and dispute process must be finalized and reviewed for the states where UpwardGrid will sell before accepting payment. No placeholder in this draft overrides applicable law.
10. Changes to services or terms
UpwardGrid may update these Terms prospectively. Material changes affecting an active recurring service should be communicated in a reasonable manner before they take effect. Changes will not retroactively authorize charges that were not agreed to.
